This Supplier Code of Conduct outlines the expectations we have for ethical and responsible business practices when working with us. Suppliers must also ensure compliance with all relevant laws, regulations, and maintain valid licenses, permits, and certifications in the regions where they operate. Our values serve as the cornerstone of our business relationships, and we expect suppliers to reflect these principles in their own operations. We also encourage suppliers to extend these standards throughout their supply chains to maintain alignment with our shared commitment to integrity and ethical practices. Together, by following these standards and the law, we can foster lasting, mutually beneficial partnerships. **Scope of Applicability** This Code applies to all suppliers, contractors, agents, intermediaries, and similar entities providing goods or services to Rejoose. Suppliers are responsible for adhering to these standards and communicating them to their own partners and subcontractors. Rejoose reserves the right to partner only with suppliers who, in our view, align with these principles. **Ethical Practices: Anti-Bribery and Anti-Corruption** We expect suppliers to comply with all anti-bribery and anti-corruption laws, including the UK Bribery Act and equivalent regulations. Suppliers must refrain from offering, accepting, or soliciting bribes, facilitation payments, or any undue advantages to secure business or gain a competitive edge. Special care is required when interacting with public officials, as stricter rules often apply. Examples of public officials include: **◊ Elected representatives or government employees.** **◊ Workers of state-run enterprises, such as universities or healthcare institutions. ◊ Employees of national, regional, or local governments.** If you encounter or suspect any corrupt practices involving Rejoose, please report them without delay to ethics@rejoose.com. **Fair Competition** Rejoose values fair and open competition. Suppliers are required to comply with all relevant competition and antitrust laws and must avoid any practices that unfairly restrict competition, such as price-fixing or imposing minimum resale prices. Pricing recommendations, if provided, should remain optional and non-binding. Suppliers must also ensure compliance with cross-border trade regulations in the European Union, respecting the free movement of goods and services within the single market. **Managing Conflicts of Interest** Suppliers are expected to prevent and disclose any actual or perceived conflicts of interest that may impact their impartiality in dealings with Rejoose. Situations that could create conflicts include: **◊ Hiring or conducting business with close friends or relatives.◊ Offering or accepting gifts, hospitality, or other benefits that could unduly influence decisions.** **Suppliers should avoid any actions that could compromise—or appear to compromise—business integrity.** **Commitment to Human Rights** Rejoose is dedicated to supporting human rights and ensuring safe and fair working conditions throughout our supply chain. We require our suppliers to: **◊ Eliminate forced labor, child labor, and human trafficking. ◊ Provide fair wages, reasonable working hours, and safe, clean workplaces. ◊ Uphold employees’ rights to collective bargaining and freedom of association.** **Any suspected violations of human rights must be reported promptly to Rejoose.** **Environmental Sustainability** Suppliers must operate in an environmentally responsible manner, complying with all applicable environmental laws and striving to reduce their ecological impact. This includes: **◊ Minimizing waste and pollution.** **◊ Emphasizing recycling and using renewable materials where possible.** **◊ “Implementing strategies to lower their overall environmental footprint.** **Confidentiality and Data Security** Suppliers are required to protect all sensitive information provided by Rejoose and use it solely for authorized purposes. Compliance with data protection regulations, such as GDPR, is mandatory. Suppliers must ensure that their personnel, agents, and subcontractors uphold these obligations. **Reporting Concerns** If you are uncertain about the appropriate course of action in a specific situation or suspect a breach of these principles, please contact your Rejoose representative or report concerns confidentially via ethics@rejoose.com. Reports made in good faith will be thoroughly investigated, and those raising concerns will be protected from retaliation. **Final Statement** By embracing these Supplier Code of Conduct standards, suppliers contribute to a business ecosystem rooted in trust, sustainability, and ethical practices.
